How's AIB Organized?

Awash International Bank S.C., being an incorporated entity per dicatates of the Ethiopan Commercial Code, the Ethiopian Banking Law and its business mandate. The management is purposefully separated from the ownership as dictated by the country's commercial code and customery practice. Basically, AIB is organized in three tier structure comprising of the Shareholders' General Assembly (Supreme Authority), the Board of Directors and the Executive Management that is fully empowered to run the day-to-day operations of the Bank.

The General Assembly (Shareholders' Meeting)

Awash International Bank S.C.(AIB) is a share company established in 1994 by 486 shareholders with an initial capital of over Birr 24 million. Currrently the number of shareholders has risen significantly to reach over 2900 with a subscribed capital of Birr one billion and paid up capital of Birr 720 million. The Bank's supreme authority, according to the article of association, is the Shareholder's General Assembly which convenes at least once annually. The General Assembly elects Board of Directors to oversee the operation of the Bank which is run by the Executive management.

External Auditors

The General Assembly, in addition to electing the Board of Directors, assigns an external auditor to independently audit the Bank's operation as stipulated in the country's commercial code. Currently, Ethiopian Audit Service Corporation is AIB's external auditor.

The Board of Directors

The twelve membered Board of Directors, according to the article of association, serves for a three year term. Every share holder, regardless of the amount of shares he/she owns is eligible to vote and be elected to the board since AIB's shares are unclassified. AIB's current Board of Directors, which comprises of nine members, is chaired by Ato Wole Gurmu.

The Executive Management
AIB's executive management is responsible for the management of day to day operations. According to the current structure; it comprises of the CEO (The President), three Vice presidents and thirteen departments as well as numerious other divisions and sections, each with distinict duties and responsibilities. As depicted in the organizational structure (above) the majority of the departments are organized under the three vice presidents while Four of them report to the Presedent. The functional structure of the executive management is subject to change any time to meet the requirements of the time.
